GENERAL

All quotations are made and orders accepted subject to the following Conditions of Sale. Square in Circle
Studio Ltd will not accept terms and conditions other than those specified nor any other additional or
variations thereto.

GUARANTEE

The Company's products are manufactured in accordance with the latest international standards.
Components which develop faults, not caused by client's negligence, within the 12-month guarantee
period will be repaired or replaced at our discretion. Products are of contract quality and suitable for use
in commercial interiors wired and tested to all relevant, and current standards and CE marked provided
with Certificates of Conformity as and when required. Square in Circle Studio Limited has UL standard
approval to supply lighting product bearing the UL mark.
ORDERS

All orders must be received in writing, by email. Any amendments to your order must also be received in
writing. All goods ordered must be paid 100% on placement of the order. For all orders, delivery times
are quoted at the time the order is placed and are subject to receipt of any full payment/any balancing
payment prior to dispatch. Prices are in Pound Sterling and are exclusive of VAT. Prices are exclusive of
freight, duties and export taxes. Orders of a high value or custom nature may require special payment
terms to be agreed prior to accepting the order. Preferred payment methods are bank transfer or
debit/credit card. Square in Circle Studio Limited will not accept local bank charge deductions. Interest
will be charged on late payments. Goods remain the property of the Company until payment has been
made, the risk of goods remains that of the client after goods have been despatched. The Company shall
have the right to stop at any time delivery and the discretion to determine any contract if the client
defaults on payment of the order after it has become due for payment. Square in Circle Studio Limited
reserves the right to discontinue items without notice. Prices are for products designed and wired for use
in the UK market only. For European or US products, please request wiring preference prior order is
placed.

SPECIFICATION AND QUANTITIES

The Company endeavours to quote correct quantities specified. It is the responsibility of the client of
contract to verify quantities against drawings and final specifications. No minimum order quantity is
required.

BESPOKE

Bespoke fixtures whether different in finish, material, dimensions, electrical or any other variation are
non-refundable or returnable. Any deposits or balance payments made are non-refundable or
transferable. All bespoke orders subject to minimum quantity of 5 units.
DAMAGE AND RETURNS

Following receipt of your written notice confirming your intent to return goods we are happy to accept
returns of orders within 28 days of purchase directly processed through Square in Circle Studio Ltd. The
goods must be from standard range and not bespoke items. Goods must be returned unused and in a
fully resalable condition in their original packaging.

All damage claims must be made in writing within 5 business days of receipt of goods. If damage has
occurred in shipping, all packaging must be retained by receiver. Failure to do so may invalidate any
claim. Claims for shortages or damage in transit must be notified in writing to the carrier and ourselves
within three working days of receipt and in case of non-delivery within 5 days of date of advice. Please
include a photograph of the damaged item and packaging with a return form. In the event of receiving
damaged or missing goods, Square in Circle Studio Limited will endeavour to rectify the situation as
promptly as possible. Square Circle Studio Limited must be notified if goods are not due to be unpacked
within 3 days of receipt. A replacement order will be sent upon receipt of a completed returns form.
Square in Circle Studio Limited will take no responsibility for damages incurred in transit when using your
own shippers. A signature from your chosen courier on collection confirms that they are receiving your
order in good condition, and that boxes have been labelled in accordance with their specifications. Your
shippers should provide you with the necessary insurance to cover your order.

ACCESSORIES

Lamps, transformers and gear are not supplied unless itemised. The Company will supply brand, colour
temperatures and/or beam angles of lamps as quoted unless otherwise informed by way of written
specification prior to, or at the time of orders.

PRODUCT DESCRIPTION

The Company makes sure every effort is made to ensure accurate representation of product colours,
finishes and dimensions, new products may be subject to minor changes in specification, size and finish
due to production developments. The Company reserves the right to alter these details without notice, in
compliance with its own production needs, technological changes or in response to the current market
needs. Colour swatches are for reference only. The Company cannot guarantee exact colour match for
any product finishes. The Company reserves the right to charge for costs involved in accepting the
cancellation. The Company cannot accept responsibility for lamp manufacturers' colour variances or
batch production tolerances. Due to handmade finishing process, some minimal dent or scratch may
occur on surface that can not be completely avoided. This should not be visible from visual quality
distance.

LEAD TIMES

All lead times correspond to the published lead times on the Square in Circle Studio price sheet. The lead
times are estimated, and products can occasionally become backordered or delayed. Custom projects
require 14 weeks or more for completion. Lead times are calculated from the date of the receipt of
payment.

SHIPPING CHARGES

The price of transport is calculated based on the shipping destination of the order and the size and
weight of the product. Items are shipped by commercial couriers. The cost of shipping is not included in
the price and will be charged accordingly. Shipping and packaging charges are not refundable. Returned
items shipping changes should be covered by buyer.
COPYRIGHT

All designs are protected under copyright law. Square in Circle Studio Limited has the property rights to
manufacture and sell these products and holds the exclusive manufacturing and distribution rights
worldwide. Any manufacturer found to be re-producing a Square in Circle Designs will be breaching
copyright or EU Design Right laws.
